Terms of Service

The agreement that governs your use of Newswire Distribution, from the moment you submit a release to the day you read your placement report.

Last updated

These terms set out the deal between you and Newswire Distribution. They cover what we do with the press releases you send us, what we ask of you in return, how billing works, and where each side stands if something goes wrong. Read them before you open an account or submit a release, because using the service means you accept everything below.

We've written these terms in plain English so you can read them without a lawyer. They are still a binding agreement, and nothing here is legal advice. If you're unsure how a clause applies to your organization, ask qualified counsel in your jurisdiction before you sign up.

1. Agreement to terms

By creating an account, submitting a release, or otherwise using anything we provide, you agree to these Terms of Service. If you are accepting on behalf of a company or another organization, you confirm you have the authority to bind that organization, and "you" then means both you and the organization.

These terms work alongside two other documents. Our Privacy Policy explains how we handle personal data, and our Cookie Policy covers what we store in your browser. Where any of them apply, they form part of the same agreement. If you do not accept all of it, please don't use the service.

2. Definitions

A few words carry specific meanings throughout this page:

  • "We", "us", "our" and "Newswire Distribution" mean the company operating this service from Fresh Pond Road, Maspeth, NY 11378, United States.
  • "Client", "you" and "your" mean the person or organization that holds an account or submits content.
  • "Service" means our press release distribution platform, the editorial review we perform, the targeting and syndication we arrange, and the reporting we deliver back to you.
  • "Content" means any press release, headline, body copy, quote, image, logo, embargo instruction, contact detail, or other material you submit to us.
  • "Outlet" means any newsroom, journalist, news site, financial terminal, trade publication, or newswire that may receive, carry, or republish your Content.
  • "Placement" means a verifiable appearance of your Content on an Outlet, evidenced by a URL or screenshot in your report.

3. Eligibility and accounts

You must be at least 18 and able to enter a binding contract to use the service. Accounts are for business use by communications professionals, agencies, founders, and investor-relations teams.

When you register, give us accurate details and keep them current. You are responsible for everything that happens under your login, so protect your password and tell us promptly if you suspect someone else has it. We may refuse, suspend, or close an account if the information is false, if the account is used to mislead Outlets, or if activity puts our newsroom relationships at risk. If you'd rather see the service in action before committing, you can review a few recent client results first.

4. The service

Here is what we actually do. You submit a release; we review it editorially; we target the journalists and Outlets that fit your beat and region; we place it on the regional and national wires you've chosen; we syndicate it to news sites, financial terminals, and trade media; and we report back with the URLs and screenshots that show where it landed. For the full walk-through of how distribution works, read that before you send anything.

Every release passes through editorial review before it goes out. We check for the basics that working journalists expect, and we may suggest edits or hold a release that doesn't meet the standard set out in our editorial guidelines. Review is a quality step, not a rewrite of your message.

We are clear about one thing up front: we do not guarantee specific media coverage beyond the minimum placements stated in your chosen plan. On our side sit distribution, targeting, and the wires we feed; what we cannot control is whether a given journalist writes a story or whether an Outlet's editor runs it. What we guarantee is the distribution work and the verifiable minimums we promise in writing, reported back to you in plain English.

5. Acceptable use and content standards

Our newsroom relationships are the reason this service works, and we protect them. Your Content must be a genuine, factual announcement fit for editorial distribution. It must comply with our editorial guidelines, which cover newsworthiness, sourcing, and formatting in detail.

You agree not to submit Content that is false or deliberately misleading, that infringes anyone's rights, that is defamatory, obscene, or unlawful, that promotes hate or violence, that contains malware or hidden links, that impersonates another person or organization, or that pushes regulated claims (financial, medical, or legal) you cannot substantiate. We may decline, edit, or pull any Content that breaches these standards, and we may report unlawful material to the relevant authorities.

6. Client responsibilities and warranties

When you submit Content, you promise the following to us and to every Outlet that receives it:

  • You own the Content or have all rights and permissions needed to publish and distribute it, including rights to any names, quotes, trademarks, logos, and images it contains.
  • The facts, figures, and statements in it are accurate and not misleading at the time you submit them.
  • Any individual quoted or named has consented to that use, and any embargo or timing instruction is one you are entitled to set.
  • Distributing the Content will not breach a contract, court order, regulator's rule, or anyone's privacy or publicity rights.

You stay responsible for the substance of your announcement. We review for editorial fit, not for the truth of your claims, so the accuracy of the release rests with you.

7. Fees, billing and refunds

Prices for each plan are shown on our pricing page and confirmed at checkout before you commit. Most distribution is billed per release; ongoing arrangements may be billed on a recurring schedule that we agree with you in advance. Fees are quoted in US dollars and exclude any taxes, which we add where the law requires.

Payment is due before a release is distributed unless we've agreed credit terms in writing. If a recurring payment fails, we may pause distribution until it clears.

On refunds: once a release has passed editorial review and gone out to Outlets, the distribution work is done and the fee is non-refundable, because we cannot un-send it. If we cancel a release before it is distributed, or if we fail to deliver the minimum placements stated in your plan, we will refund or re-run it. Reach out through our support team within 14 days of distribution if you think a billing or delivery issue applies, and we'll work it out.

8. Intellectual property

You keep ownership of your Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, format, distribute, and syndicate that Content to Outlets for the purpose of running the service, and to keep an archived copy with your placement report. This license lasts as long as needed to deliver and document distribution, including the period that Outlets continue to display your release.

Everything else, our platform, software, brand, reporting templates, and the Newswire Distribution name and marks, belongs to us or our licensors. You may not copy, resell, reverse-engineer, or build a competing service from it.

9. Third-party outlets and wires

Your release travels through newsrooms, wires, terminals, and news sites that we do not own or control. Each Outlet makes its own editorial decisions about whether to carry, edit, headline, or remove a release, and each runs under its own terms.

We arrange and verify distribution; we cannot dictate an editor's choices or how long an Outlet keeps a story live. If an Outlet edits or removes your release after publication, that sits outside our control, and we report what we can verify at the time of placement. We also can't be responsible for an Outlet's own conduct, downtime, or terms.

10. Disclaimers

The service is provided "as is" and "as available." Beyond the specific guarantees we put in writing, such as the minimum placements in your plan, we make no warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We don't promise that distribution will produce media coverage, sales, traffic, share-price movement, or any particular business result. Those outcomes depend on your story, your market, and decisions made by Outlets and their readers. We also don't warrant that the platform will be uninterrupted or error-free, though we work hard to keep it reliable.

11. Limitation of liability

To the fullest extent the law allows, Newswire Distribution will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or connected to the service, even if we've been told such damages are possible.

Where we are found liable, our total liability for any claim is capped at the amount you paid us for the specific release or service period that gave rise to the claim. Some jurisdictions don't allow certain limits, so parts of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Newswire Distribution, its officers, employees, and contractors from any claim, loss, liability, or expense (including reasonable legal fees) that arises out of Content you submit, your breach of these terms, your breach of the warranties in section 6, or your violation of any law or third-party right. We'll tell you promptly about any such claim and let you handle the defense, provided you don't settle in a way that admits fault on our part or burdens us without our written consent.

13. Termination and suspension

You can close your account at any time. Doing so doesn't refund fees for releases already distributed, and it doesn't pull releases already live on Outlets.

We may suspend or terminate your access if you breach these terms, if your Content puts our newsroom relationships at risk, if a payment stays unpaid, or if we're required to by law. Where the situation allows, we'll give you notice and a chance to fix the problem first. Sections that by their nature should survive, such as fees owed, intellectual property, disclaimers, liability limits, and indemnification, continue after termination.

14. Changes to the service or terms

We improve the service over time, so features, plans, and pricing may change. These terms may be updated too. When a change is significant, we'll post the new version here with a fresh "last updated" date and, where it's material, let account holders know by email or in-product notice.

Using the service after a change takes effect means you accept the updated terms. If a change doesn't work for you, your option is to stop using the service before it applies.

15. Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Newswire Distribution agree that the state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute that these terms don't resolve, and each side consents to that jurisdiction and venue.

Before filing anything, we ask that you contact us so we can try to settle the matter directly. Most issues come down to a billing line or a placement question, and those are usually quicker to fix over email than in a courtroom.

16. Contact

Questions about these terms, a release, or your account are welcome. Email us at hello@newswire-distribution.com or use the form on our contact page, and a real person on the team will get back to you.
